Credit activity on the territory of Romania can be carried out only through credit institutions and financial institutions. In addition, Law no. 93/2009 grants this right to non-banking financial institutions as well, with much more lenient conditions for accessing credit activity.
Non-banking financial institutions are joint-stock companies that have been notified to the National Bank of Romania and are registered in the General or Special Register.
The conditions for registration in one of the two registers are regulated by Law no. 93/2009, as well as by the BNR Regulation no. 20/2009. Among these conditions are a minimum share capital of 200,000 euros or the experience and professional reputation of the manager, meaning the person authorized to lead and coordinate the institution’s activity.
In order to obtain the document certifying registration in the General Register, non-banking financial institutions must, within 30 days from the date of incorporation, submit a request to the National Bank of Romania, accompanied by supporting documents, including:
- The company’s articles of association;
- The registration certificate;
- A letter issued by a banking institution confirming the deposit of share capital;
- The list of shareholders;
- The list of internal rules governing the activity of the non-banking financial institution.
The National Bank of Romania analyzes the submitted documents and issues the certificate of registration in the General Register within 30 days from the date when the documentation is complete and appropriate.
